Order Form Flexibility
All services, user limits, and costs are defined in the Order Form. To scale up (add users, features, or capacity) or scale down (reduce usage), you must update your Order Form with ServiceCore.
Changes in organizational needs (e.g., adding/removing users or modules) are handled through a “change order” process, negotiated in good faith between your organization and ServiceCore.
If your needs change such that the original assumptions or conditions in your Order Form no longer apply, both parties should execute a change order.
The change order will adjust milestones, deliverables, and pricing as needed to reflect your new requirements.
If both parties cannot agree on the change order, ServiceCore may terminate the agreement, with payment due for services performed up to that point.
Subscription and Access Term
The access term (duration of service) and user limits are set in your Order Form.
At the end of each term, the agreement automatically renews unless either party provides written notice of non-renewal.
You can request changes to your subscription (scaling up or down) at renewal or by negotiating a new Order Form during the term.
Fees and Payment Adjustments
Scaling up may result in higher fees, while scaling down may reduce your costs, as specified in the updated Order Form.
All fees are non-refundable, and any additional costs due to changes are detailed in the change order.
Automatic Renewal: ServiceCore contracts typically include an auto-renewal clause. Unless either party provides written notice of non-renewal within a specified period (often 30 days) before the end of the current term, the contract will automatically renew for another term, commonly one year.
Order Form Controls: The specifics of renewal (duration, user limits, features, and fees) are outlined in your Order Form. Any desired changes for the next term (e.g., scaling up or down) must be negotiated and documented through an updated Order Form or change order.
Notice Period: To prevent automatic renewal, you must provide written notice of cancellation or non-renewal before the deadline stated in your contract. The typical notice period is 30 days, but this can vary depending on your agreement.
Renewal Adjustments: Renewal may include price adjustments or changes in service levels, which should be reviewed and agreed upon before the renewal date.
Negotiation Opportunity: Before renewal, both parties can review service performance, usage, and terms. This is the time to renegotiate pricing, features, or other contract elements to better fit your evolving needs.
Termination for Convenience: Either party can terminate the agreement by providing written notice, subject to the notice period and any fees specified in the contract. The standard notice period is generally 30 days before the end of the term, but check your Order Form for the exact requirement.
Termination for Cause: ServiceCore may terminate the agreement before the term ends if the customer fails to meet payment obligations or breaches other significant terms. In such cases, the customer is liable for any fees due for services performed up to the effective date of termination.
Change Order Disputes: If organizational changes require a change order and both parties cannot agree on new terms, ServiceCore may terminate the agreement. The customer must pay for all services rendered up to that point, not exceeding the next uncompleted milestone.
Refunds and Fees: Upon valid termination for breach or defective service (with written notice and failure to cure within a reasonable time), ServiceCore may refund a portion of the fees corresponding to unperformed or defective services.
