Maximl's software is highly customizable to fit specific business needs. The platform's ability to integrate with existing systems and enable digital workflows between previously disconnected systems highlights its flexibility. Setup Fees:
It is common for enterprise software solutions to include initial setup fees tailored to the complexity and scale of the implementation.
Maintenance and Support Charges:
Travel and Lodging Expenses: If a customer requests onsite services from Maximl, they are required to pay for Maximl’s reasonable travel and lodging expenses at actual cost within 30 days after the invoice date.
Overage Fees: If the customer exceeds the usage metrics specified in the applicable order form, they must pay the overage fees as specified or at the then-current rates for the applicable SaaS solution.
Fee Adjustment: Recurring fees are fixed for the initial subscription term. Maximl may increase these fees for future periods, with annual increases not exceeding ten percent (10%) for each year of the initial subscription term.
Special Handling Charges: If special invoicing requirements apply (such as EDI or third-party systems), Maximl may impose a special handling charge of 3-5%.
Initial Training Services:
Customers are responsible for ensuring that all users receive initial training services sufficient to enable them to use the software effectively.
Ongoing Support:
Maximl provides ongoing support to address any issues and optimize the use of the platform. This support is crucial for maintaining operational efficiency and ensuring that users can fully leverage the software's capabilities.
Empowerment of Deskless Workers:
Password Protocol:
Strong password policies are enforced to prevent unauthorized access. This includes using complex passwords with a mix of characters, numbers, and special symbols, and ensuring that passwords are not shared among users.
Access Control:
Access control mechanisms are in place to ensure that only authorized users can access specific data and systems. This includes implementing Access Control Lists (ACLs) to define roles and permissions, and closely monitoring privileged user accounts.
Encryption:
Data encryption is used to protect sensitive information, both in transit and at rest. This ensures that even if data is intercepted, it cannot be read without the proper decryption key.
Firewall and Antivirus Protection:

Compliance with Security Standards:
Regular Updates:
Maximl provides updates to their SaaS solutions, which may include bug fixes, patches, error corrections, minor and major releases, and modifications that enhance existing performance.
Exclusions from Updates:
Updates do not include new products, modules, or functionality for which Maximl generally charges a separate fee. Additionally, updates do not cover Developed Materials unless specified in a Statement of Work (SOW).
Support Services:
As part of their support services, Maximl ensures that their SaaS solutions operate in material conformance with the documentation. This includes providing technical support and workarounds as needed.
Exceptions to Support:
Data Ownership:
Customer Ownership: As between the customer and Maximl, the customer owns all rights, title, and interest in and to all customer data. This means that the customer retains full ownership of their data, including its accuracy, quality, integrity, legality, reliability, appropriateness, and intellectual property rights.
Responsibility: The customer is solely responsible for ensuring that they have all necessary rights and consents to allow Maximl to use the data as contemplated by the agreement. This includes the responsibility for the accuracy and legality of the data.
Data Usage Rights:
License to Maximl: During the subscription term, the customer grants Maximl a royalty-free, fully-paid, non-exclusive, non-transferable (except as set forth in the assignment section), sub-licensable, worldwide right to use and process customer data solely for the purpose of providing the products and services and any other activities expressly agreed to by the customer.
Confidentiality and Data Protection:
Confidential Information: Both parties are obligated to protect the confidentiality of the other party's confidential information with at least the same level of care they use to protect their own confidential information, but not less than reasonable care.
Flexible Subscription Terms:
Fee Adjustments: Recurring fees are fixed for the initial subscription term, but Maximl may increase these fees for future periods, with annual increases not exceeding ten percent (10%) for each year of the initial subscription term. This suggests a degree of flexibility in adjusting the subscription based on the organization's evolving needs.

Usage Metrics: If the customer exceeds the usage metrics specified in the applicable order form, they must pay the overage fees as specified or at the then-current rates for the applicable SaaS solution. This indicates that the platform can accommodate increased usage, albeit with additional costs.
Support for Scaling:
Contract Renewal:
Automatic Renewal: Each Order Form will renew at the end of its Subscription Term as specified unless the customer provides timely notice of non-renewal. This means that unless the customer explicitly opts out, the contract will automatically renew for another term.
Fee Adjustments: Recurring fees are fixed for the initial Subscription Term. For future periods, Maximl may increase these fees, but no annual increase will exceed ten percent (10%) for each year of the initial Subscription Term.
Contract Cancellation:
Return of Data: Upon the customer's written request made within 30 days after the effective date of expiration or termination of the agreement, Maximl will make available a file of the customer's data in its current format, provided the customer is not in breach of any obligations and has paid applicable fees. After this 30-day period, Maximl has no obligation to maintain or provide any customer data and will delete all customer data from its production systems, retaining archival copies for up to two years.
Failure to Pay: Failure to make timely payments is considered a material breach of the agreement. Maximl may suspend its performance obligations and seek reimbursement for expenses incurred in collecting amounts due, including interest and reasonable attorney fees.
Disputed Fees: Customers may dispute an invoiced amount within 30 days of the invoice date. They must pay the undisputed portion promptly and may withhold payment of the disputed portion until the dispute is resolved. The parties are expected to negotiate in good faith to resolve any payment disputes within 45 days.
General Data Protection Regulation (GDPR):
Maximl complies with the GDPR, which governs the processing of personal data of individuals within the European Economic Area (EEA). This includes obtaining consent for data transfers to the USA, implementing reasonable security measures, and entering into contracts with data processors to ensure data protection.

Data Protection and Privacy:
Maximl is committed to protecting the privacy of personal data and uses secure transmission methods to collect personal data through its website. The company also ensures that its service providers adhere to strict data protection standards.
