These additions are treated as new subscriptions and are invoiced during quarterly reconciliations.
Feature and Add-On Upgrades: Organizations can expand their Dugga package by adding premium features, extra security modes, AI proctoring, or additional integrations as needed. This modular approach allows institutions to tailor their subscription to current requirements.
Contract Adjustment: When the number of users increases, the contract period is extended to include the new users, with the new term starting from the last reconciliation date reflecting the increased usage.
User and Functionality Reduction: Institutions can reduce the number of users or downgrade the features of their Dugga subscription. To do so, they must notify Dugga in writing at least 90 days before the end of the current contract period. The reduction will take effect in the next contract period.
Impact of Downgrades: Reducing users or features may result in the loss of certain data, content, or platform capabilities. Dugga is not responsible for any loss resulting from a downgrade, so institutions are advised to review potential impacts before making changes.
Annual Billing and Reconciliation: Billing is done annually in advance for the agreed number of users. Any reduction in users or features will be reflected in the next annual billing cycle after the required notice period.
Initial and Renewal Terms: Dugga contracts are typically valid for an initial period of two years. If not terminated in writing at least 90 days before the end of the contract, the agreement automatically renews for another two-year period. Adjustments for scaling up or down are coordinated with these contract cycles.

Notice Period: Written notice of cancellation must be provided at least 90 days before the end of the current contract period to avoid automatic renewal.
Immediate Termination: Either party can terminate the agreement with immediate effect if the other party:
Significantly violates its obligations and does not correct the issue within 30 days of written notice.
Enters bankruptcy, insolvency negotiations, or is otherwise unable to fulfill financial obligations.
Data Handling Upon Termination: Upon termination, both parties must delete files and return or destroy materials obtained from the other party if requested.
