For cancellations, either party can terminate for cause if the other breaches a material obligation and fails to cure the breach within 30 days after receiving written notice from the non-breaching party. Contracts may also be cancelled in cases of insolvency, bankruptcy, dissolution, or substantial cessation of business by either party. Upon termination, customers are required to immediately stop using SPOL services, but are granted at least 30 days of limited access solely to retrieve their data or content. Unless otherwise agreed in writing, SPOL does not maintain customer content beyond this period.
If SPOL discontinues services or materially reduces core functionality, affected customers may opt to terminate their agreement, and SPOL will provide a pro-rata refund of any prepaid, unused fees. Termination or non-renewal does not affect any claims or liabilities incurred before the termination date, and clauses related to fees, proprietary rights, and other critical provisions may survive beyond termination as necessary.
