Maintenance Renewal:
Annual Renewal Notice: Parasoft will issue an annual renewal notice at least ninety (90) days prior to the expiration of the then-current Maintenance period.
Maintenance Fees: Maintenance fees will be based on the then-current list price and are subject to change without notice.
Reinstatement of Maintenance: If Maintenance expires, it can be reinstated by paying the following:
If the current release of the Software is installed but the renewal fee is not paid within ninety (90) days following expiration, annual Maintenance fees at Parasoft's then-current rates plus a reinstatement fee.
If the current release of the Software is not installed or the renewal fee is not paid within ninety (90) days following expiration, annual Maintenance fees at Parasoft's then-current rates plus a license update fee for the current release of the Software.
Support Services:
Support Coordinators: Maintenance includes support services provided to one designated support coordinator (and one backup coordinator) per location, available by telephone, email, and website during normal business hours, Monday through Friday, excluding nationally observed holidays.
Additional Licensed Capacity:
Maintenance Fees for Additional Capacity: If additional Licensed Capacity is purchased before the annual anniversary date of the Maintenance period, applicable Maintenance fees based on Parasoft's then-current rates will apply from the effective date of the additional capacity and continue for one year, unless otherwise agreed in writing.
New Releases:
Access to New Releases: During any period in which Maintenance is current, Parasoft will provide new releases of the Software, including error corrections, modifications, maintenance patch releases, and enhancements (unless priced separately).
Transition Period: Users may continue to use the previous version of the Software for up to ninety (90) days after installing a new release to assist in the transition.
Supported Releases:
Support for Previous Releases: Parasoft will support the immediately preceding release of the Software for twelve (12) months following the discontinuance of such Software or the date on which the new release becomes generally available.
General Terms:
Independent Contractors: The parties acknowledge that each is an independent contractor, and the Agreement will not create a partnership, joint venture, or agency relationship.
Entire Agreement: The terms and conditions of the Agreement apply to all Software licensed, User Documentation provided, and Maintenance purchased, superseding any different or inconsistent terms in any order form or purchase order.
Assignment: Users have no right to assign, sublicense, pledge, or transfer any rights in the Software, User Documentation, or the Agreement without Parasoft's prior written consent. Any unauthorized assignment will be null and void.
GDPR (General Data Protection Regulation): Ensures the protection of personal data for individuals within the European Union.
PCI DSS (Payment Card Industry Data Security Standard): Ensures the secure handling of credit card information to prevent fraud and data breaches.
HIPAA (Health Insurance Portability and Accountability Act): Protects sensitive health information and ensures it is handled securely, relevant for call centers dealing with healthcare data.
