Carta, originally founded as eShares in 2012, is a technology company based in San Francisco that specializes in capitalization table management and equity management solutions. The platform enables private companies, investors, and employees to digitize and manage their equity, including stock options, warrants, and derivatives. Carta's mission is to democratize ownership by simplifying the issuance and management of equity, thereby allowing more individuals to participate in the wealth generated by their work. The company has established itself as a leader in the private equity space, operating CartaX, a private stock exchange that facilitates liquidity for private company shares.
Founded by Henry Ward and Manu Kumar, Carta emerged from the recognition that venture-backed companies needed a more efficient way to manage their equity. The company initially focused on providing electronic management of cap tables and has since expanded its offerings significantly. Over the years, Carta has experienced rapid growth, raising substantial funding through multiple rounds. Notably, the company achieved a valuation of $1.7 billion in May 2019 after a $300 million Series E funding round led by Andreessen Horowitz. By 2020, its valuation soared to $3.1 billion, reflecting its growing influence in the market.
Carta has successfully raised over $600 million in funding through various investment rounds, with participation from notable venture capital firms such as Andreessen Horowitz, Menlo Ventures, and Tribe Capital. The company’s valuation has steadily increased, reaching $3.1 billion by 2020. This financial backing has allowed Carta to invest in product development, expand its service offerings, and enhance its market presence. The company continues to attract significant interest from investors, underscoring its potential for future growth in the equity management sector.
Carta's product suite includes advanced cap table management, 409A valuations, fund administration, and a range of compliance tools. The platform automates cap table updates, allowing users to manage equity with minimal manual intervention, which reduces the risk of errors. Additionally, Carta offers scenario modeling tools for financing and exit projections, enabling companies to make informed decisions. Employees benefit from features that allow them to exercise stock options and track their equity holdings easily, all through a user-friendly interface.
In its pursuit of growth and enhanced capabilities, Carta has made strategic acquisitions, including the purchase of Silicon Valley Bank's valuation business in 2017 and UK competitor Capdesk in 2022. These acquisitions have broadened Carta's expertise in valuations and expanded its reach in the European market. The company continuously evolves its product offerings to meet the diverse needs of its clients, ensuring that it remains at the forefront of equity management solutions.
Carta has introduced several new features aimed at improving user experience and operational efficiency. The Firm Overview dashboard allows private equity firms to manage portfolio company cap tables and valuations in a centralized location, facilitating better decision-making across teams. This feature enhances visibility for CFOs and deal teams, streamlining the reporting process and improving data management. Carta also emphasizes educational initiatives, providing resources to help users understand equity management better.
Carta promotes a culture centered around ownership, transparency, and inclusivity. The company believes in empowering its employees and stakeholders by providing them with the tools and knowledge necessary to manage their equity effectively. This commitment to democratizing ownership is reflected in its initiatives to lower barriers to entry for equity management and its ongoing efforts to address equity gaps in the workforce. Carta encourages a collaborative environment where innovation thrives, and employees are motivated to contribute to the company's mission.
With over 21,000 companies and 1.5 million unique stakeholders using its platform, Carta has built a diverse and engaged user base. The company serves a wide range of clients, from early-stage startups to established enterprises, including notable names like Slack and Affirm. Carta's community is characterized by a shared commitment to understanding and managing equity, with the company providing educational resources and support to help users navigate the complexities of ownership.
