Brightly Origin’s contract renewal and cancellation terms offer clarity and options for organizations, with several key data points and provisions outlined:
Automatic Renewal: Service subscriptions typically auto-renew for periods equal to the expiring subscription term or one year—whichever is longer—unless a party provides written notice of intent to terminate at least 45 days before the current term ends.
Order Form Specifics: Automatic renewal and term length can be modified by details set within the Order Form for the subscription; otherwise, renewal defaults to standard policy.
Reseller Purchases: If services are purchased through a reseller, renewal terms, payment conditions, and associated provisions may be negotiated directly with the reseller; however, Brightly maintains the right to terminate service if payment is not made or agreement with the reseller ends, with a 30-day prior written notice.
Non-Refundable/Non-Cancelable Mid-Term: Subscription fee payment obligations are generally non-refundable and cannot be canceled mid-term; quantities purchased cannot be decreased during the service term.
45-Day Notice Required: If either party wishes to terminate the service before automatic renewal, written notice must be provided a minimum of 45 days before renewal.
Termination for Cause: Either party may terminate if the other party commits a material breach and fails to cure it within 30 days of notice, except for confidentiality breaches, which may result in immediate termination.
Termination Effect: Upon termination, access to affected services is immediately revoked, and clients are required to cease use, remove, and destroy all related confidential information, certifying this removal to Brightly.
Fee Responsibility: In the event of contract termination, subscribers must pay all outstanding fees up to the effective termination date.
