Physical and Technical Safeguards
SaaS contracts, like those typically used by Second Street, often include an automatic renewal clause. This means that after the initial contract term ends, the agreement renews for a specified period (such as 12 or 24 months) unless either party provides written notice of non-renewal within a set timeframe (commonly 30–60 days before the renewal date).
To prevent automatic renewal, either party usually must send a written notice of intent not to renew the contract within the notice period defined in the agreement (for example, at least 60 days before the end of the current term).
Renewal is an opportunity for both parties to review and renegotiate contract terms, such as pricing, service levels, or features, before the new term begins.
Cancellation (Termination) Terms
Termination for Convenience: Some SaaS contracts allow either party to terminate the agreement for any reason, provided they give advance written notice (e.g., 30, 60, or 90 days). The specific notice period and any associated fees are defined in the contract.
Termination for Cause: Either party can terminate the contract immediately if the other party breaches material terms of the agreement and fails to remedy the breach within a specified cure period (commonly 30 days).
Early Termination Fees: If a customer cancels before the end of the contract term, there may be an early termination fee to compensate for the provider’s lost revenue or incurred costs.
Post-Termination Obligations: Contracts may specify procedures for data retrieval or transition services after termination, ensuring customers can access or migrate their data before access is revoked.
If the contract is arranged online or remotely, customers may have a statutory 14-day cooling-off period to cancel without penalty, unless services have already begun.
