Customer-First Ownership: Omniful’s terms clearly state that customers retain full ownership and proprietary rights over all Customer Data and Customer Materials stored or processed within the platform. The agreement does not grant Omniful any ownership rights over client data.
Use of Data: Omniful is only allowed to use customer data as necessary to deliver the subscription services and consulting agreed upon, or as otherwise expressly permitted in the contract. They are not permitted to access, use, or share customer data beyond these purposes.
Protection and Confidentiality: Omniful commits to protecting the confidentiality of customer data with at least the same degree of care as it does with its own sensitive data (and never less than reasonable care), restricting access to personnel and third parties under strict confidentiality obligations.
Data Export Rights: Customers have the right to export their data at any point during the subscription and upon termination or expiration of the agreement. Omniful will provide customer data in a machine-readable and structured format suitable for transfer or backup.
Regional Data Hosting: Omniful can store customer data in a specific region, such as Europe, North America, or the Middle East, based on the customer’s subscription and in line with regional data hosting policies. Transfers to other regions may take place as required for service delivery.
Omniful is engineered for high flexibility, supporting seamless scaling as businesses grow or adapt to changing organizational needs. Here are the key terms and mechanisms for scaling up or down with Omniful:
Modular Platform: Choose and activate only the modules you need (OMS, WMS, TMS, POS, etc.), enabling organizations to add or remove features as business needs change.
Plug-and-Play Integrations: Instantly connect or disconnect with sales channels, ERPs, marketplaces, POS, and shipping gateways, supporting scalable operations without technical bottlenecks.
Tiered Plans: Omniful offers subscription models with tiered pricing and features, allowing companies to upgrade or downgrade their plans based on current size, order volumes, and required functionalities.
Usage-Based Pricing: Plans adapt according to transaction or user volumes. Overages or additional usage above the agreed plan incur extra charges at specified per-unit rates; this allows for elastic scaling without a long negotiation.
Quick Adjustments: Organizations may scale up (add modules, users, features) or scale down (move to smaller plans, deactivate components) by updating their subscription and licensing agreement, usually without requiring extensive system changes.
Real-Time Data Sync: As you scale, inventory, order, and data sync across all sales channels, physical hubs, and e-commerce platforms happen in real time, reducing manual work and bottlenecks during scaling events.
Automatic Renewal: Subscriptions automatically renew for the shorter of the initial subscription term or one year, unless otherwise specified in the Order Form.
Fee Adjustments at Renewal: Omniful may increase subscription fees upon renewal, up to their then-current list price. Customers will be notified of any fee increase at least 60 days before renewal. If the customer does not agree, either party may terminate at the end of the current term by giving proper notice.
Notice of Non-Renewal: To prevent automatic renewal, either Omniful or the customer must give written notice of non-renewal before the deadline specified in the Order Form. This can be done by turning off auto-renewal in the account's billing details or following instructions on canceling the Omniful account.
Early Cancellation (Convenience):
Customers may cancel their subscription early for convenience.
No Refund: Prepaid fees or unused subscription fees are not refunded if the customer cancels early.
The customer must promptly pay all unpaid fees due through the end of the subscription term.
Termination for Cause:
Either party may terminate the agreement for cause:
On 60 days' notice, if there is a material breach that remains uncured.
Immediately in case of bankruptcy or similar insolvency events.
Omniful may also terminate on 30 days’ notice if the customer acts in a way harmful to Omniful, its prospects, or customers.
If the customer terminates for cause, Omniful promptly refunds prepaid but unused fees covering use of services after termination. If Omniful terminates for cause, the customer must pay all unpaid fees through the end of the term. Otherwise, fees are non-refundable.
Suspension (Non-Payment or Prohibited Acts):
Omniful may suspend service for:
Non-payment after giving notice and a 10-day grace period.
Prohibited or harmful activities.
Saudi Arabia (ZATCA/Fatoorah) Compliance: Omniful’s e-invoicing solution is fully integrated with the Saudi Zakat, Tax and Customs Authority (ZATCA) platform. It automates real-time invoice generation in compliance with Fatoorah Phase 2 regulations, ensuring authenticity with secure digital signatures and QR codes, and supporting VAT requirements for all B2B and B2C transactions.
International Tax Authorities: Omniful adapts its e-invoicing and tax modules for compliance with different jurisdictions’ tax rules, allowing for global scalability and cross-border commerce adherence.
PCI-DSS Compliance: Omniful’s Point of Sale (POS) software integrates Payment Card Industry Data Security Standard (PCI-DSS) compliant encryption. All payment data is encrypted from swipe to server, protecting against unauthorized access and ensuring cardholder data protection.
EMV Compliance: Support for EMV-ready hardware with secure chip card readers, ensuring secure payment processing according to global payment standards.
GDPR (General Data Protection Regulation): Omniful is required to meet GDPR standards due to its international data management operations. This includes the handling, processing, and storage of customer and transactional data in alignment with European data protection requirements. Non-compliance risks significant penalties.
KSA Data Residency: Omniful’s Transportation Management System (TMS) supports local data hosting for compliance with Saudi Arabian data residency laws.
UAE ESR & AML Regulations: The POS solution is designed to facilitate compliance with the UAE’s Economic Substance Regulations (ESR) and Anti-Money Laundering (AML) mandates, including automated reporting of large value transactions and identity management for audit readiness.
