Renewal:
Annual Fees: Districts must pay an annual fee for the software license, maintenance, and support. The fee for subsequent years is based on the then-current rate for said services.
Modification: The terms and conditions of the agreement may not be altered, amended, or modified unless set forth in writing and signed by both Aeries Software and the district.
Cancellation:
Material Breach: Either party can terminate the agreement if the other party materially or repeatedly defaults in the performance of its duties or obligations. The defaulting party has 30 days to cure the default after written notice is given. If the default is not cured within this period, the agreement can be terminated immediately.
Support Termination: Aeries Software may terminate support with 90 days' written notice if the district fails to pay undisputed invoices for support. Support can also be terminated with 30 days' notice if the district fails to cooperate, act reasonably, respond in a timely manner, or act in good faith.
