The terms & conditions for contract renewal and cancellation
WorkClout’s standard contract runs for one year (12 months). After the initial term, it automatically renews for the same duration, unless one party gives notice to terminate before the renewal period. Customers must pay through the end of the contracted period, and WorkClout gives a grace window for data retrieval after cancellation.
Initial Term & Automatic Renewal The agreement begins when fees are collected and runs for an initial 12-month “Initial Service Term.” Unless either party gives notice, the contract automatically renews for additional 12-month cycles (i.e. same duration as initial term).
Notice Period to Reject Renewal / Terminate at Renewal To avoid automatic renewal, a party must provide at least 30 days’ notice before the end of the then-current term.
Termination for Cause / Material Breach Either party can terminate (or decline renewal) earlier in the event of a material breach, provided that: • Notice is given (30 days) and the breaching party fails to cure the breach within that time. • In cases of non-payment, termination may occur immediately (i.e. without waiting for the 30 days).
Obligations on Cancellation / Termination
The customer must pay for all services rendered up to and including the last day services are provided.
Upon termination, WorkClout will make the Customer’s data available for 30 days for electronic retrieval; after that, they may delete stored data.
Provisions that should survive termination—such as confidentiality, liability limits, and payment obligations—remain in force even after contract end.
Fee Changes & Notice At the end of the initial term (or a renewal term), WorkClout reserves the right to change fees or institute new charges. They must provide 30 days’ prior notice before such fee changes.
