Customers have the right to obtain a raw copy of their data, which QPR facilitates either by guiding the customer to download the data or by providing it through a separately invoiceable service. Data Storage and Handling: Customer data can be stored at any geographical location within the European Union, using any third-party storage provider that QPR chooses. Contract Renewal:
Automatic Renewal: The contract term continues for an initial period of one year from its commencement date. Upon expiration of this initial term, and for each subsequent term, the contract will automatically renew for another twelve consecutive calendar months unless either party gives notice of non-renewal at least three months before the end of the current term.
Contract Cancellation:
Termination Notice: To avoid automatic renewal, either party must give not less than three months' notice prior to the end of the current contract term.
Fees Upon Renewal:
Payment of Fees: Unless the Maintenance and Support Agreement is properly terminated as stated, the customer must promptly pay the total annual fees for the initial and each renewal contract term. QPR is entitled to invoice the annual fees prior to the commencement date of each renewal contract term.
Fee Adjustments: QPR may adjust the annual fees by notifying the customer of the change in writing at least one hundred days before the change.
Additional Support and Services:
Support Services: During the contract term, QPR will provide support services as required according to the terms of the agreement. This includes software updates such as error corrections, modifications, enhancements, patches, fixes, alterations, or revisions to the software and documentation at no additional cost, exclusive of reasonable charges for shipping and handling.
