This policy gives customers full ownership and control over their maintenance data, allowing them to extract and migrate it as needed.
MicroMain CMMS offers flexibility in scaling usage up or down based on an organization's changing needs:
The software is available through flexible subscription plans and modular add-ons
This modular approach allows organizations to add or remove features and capabilities as their requirements evolve
Contract Renewal
Renewal Provisions:
Contracts typically have an initial term with provisions for renewal. For example, the initial term of a Master Agreement might be two years, with options for renewal as outlined in the agreement.
Renewal terms are often subject to mutual agreement and may require written notice from either party. For instance, a contract may be renewed for additional successive periods, with a maximum aggregate term not to exceed five years.
Price and Rate Adjustments:
Any request for price or rate adjustments must be made at least 90 days prior to the effective date of the adjustment. These adjustments must be supported by sufficient documentation and approved by the lead state or contracting entity.
Notification Requirements:
Renewal notifications and any changes to the contract terms must be communicated in writing. This ensures that both parties are aware of the renewal and any modifications to the agreement.
Contract Cancellation
Cancellation for Convenience:
The state or contracting entity reserves the right to terminate the contract, in whole or in part, at any time when it is in the best interest of the state, without penalty or recourse. Written notice must be provided to the contractor, and the contractor must stop all work upon receipt of the notice.
Cancellation for Conflict of Interest:
The state may cancel the contract within three years after execution if any person significantly involved in the contract becomes an employee or consultant to any other party to the contract. This cancellation is effective upon written notice to the contractor.
Termination for Default:
The contract may be terminated immediately if the contractor is found to be in default, such as failing to perform contractual requirements or breaching any term of the agreement. The state may exercise various remedies, including withholding payment, imposing liquidated damages, and suspending the contractor from future bids.
Gratuities and Ethical Violations:
The contract can be terminated if it is determined that the contractor offered or made a gratuity to any state officer or employee to influence the outcome of the procurement or secure favorable treatment. The state may recover exemplary damages in such cases.
Suspension or Debarment:
Immediate termination can occur if the contractor is debarred, suspended, or otherwise prohibited from participating in public procurement activities. The contractor must notify the state immediately if they become suspended or debarred.
Stop Work Orders:
The state may issue a stop work order requiring the contractor to halt all or part of the work. The contractor must comply immediately and take steps to minimize costs during the stoppage. If the order is canceled, the contractor must resume work, and the contract may be adjusted accordingly.
