Contract Renewal
Automatic Renewal:
At the end of each Services Term, the Services (including all End User Accounts previously ordered) will automatically renew for an additional Services Term of twelve months. Either party must provide written notice of non-renewal at least fifteen days prior to the end of the current Services Term.
Notification of Changes:
If Google makes a material change to the URL Terms, they will inform the customer via email or the Admin Console. If the change has a material adverse impact on the customer, they must notify Google within thirty days to remain governed by the previous terms until the end of the current Services Term. Upon renewal, the new terms will apply.
Revising Rates:
Google may revise its rates for the following Services Term by giving written notice at least thirty days before the new term starts.
Multi-Year Commitments:
Discounts are available for customers that commit to multi-year purchases (two years or more) of Google Workspace for Education Plus. This can be arranged through authorized Google Workspace for Education partners.
Contract Cancellation
Termination for Convenience:
Customers may stop using the Services at any time and may terminate the Agreement for convenience with prior written notice, provided they fulfill all financial commitments under the Order Form or Agreement. This includes payment of any Fees for the Order Term.
Termination for Breach:
Either party may terminate the Agreement immediately on written notice if the other party is in material breach and fails to cure the breach within thirty days after receiving notice. Additionally, termination can occur if the other party ceases business operations or becomes subject to insolvency proceedings not dismissed within ninety days.
Termination Due to Legal Reasons:
Google may terminate the Agreement immediately if continued provision of the Services would violate applicable laws or if the customer has violated any Anti-Bribery Laws or Export Control Laws.
Effect of Termination or Non-Renewal:
Upon termination or non-renewal, all rights and access to the Services will cease, including access to Customer Data, unless otherwise described in the Agreement. Any Fees owed by the customer to Google become immediately due upon receipt of the final invoice.
Refunds and Credits:
If Google discontinues the Services or serves notice to non-renew the Agreement, they will refund any unused prepaid Fees following the expiration or termination of the Agreement.
Reseller Agreements:
If the Services are ordered through a Reseller, the terms of payment, refunds, and renewals are governed by the Reseller Agreement. Customers must pay the Reseller directly, and any applicable SLA credits will be provided by the Reseller.
