Automatic Renewal: The agreement automatically renews for successive periods of equal length to the initial subscription term unless either party notifies the other of its intent not to renew at least ninety (90) days prior to the expiration of the then-current term.
Modification of Terms: Lumigo reserves the right to modify the terms and conditions of the agreement. Such modifications will take effect at the next renewal of the subscription term unless specified otherwise. If modifications are made during the current term and the customer objects, they may terminate the affected Sales Order and receive a pro-rated refund of any pre-paid subscription fees.
Termination for Breach: Either party may terminate the agreement immediately upon written notice if the other party commits a material breach and fails to cure it within sixty (60) days (seven days for payment defaults).
Termination for Bankruptcy: Either party may terminate the agreement upon written notice if the other party undergoes bankruptcy, insolvency, or similar proceedings that are not dismissed within sixty (60) days.
