Leanpath’s Terms of Use clearly define ownership for different types of data generated or provided through its platform:
Waste Data: Leanpath owns all Waste Data generated by the use of its equipment and services. This includes data such as quantity, type, value, source, disposition, operator name, time, and date of loss, and photographs of food waste. Leanpath may use this data for any legal purpose, but will not disclose Waste Data in a way that identifies the customer or their locations without written permission. However, Leanpath grants customers a non-exclusive, non-transferable, perpetual, royalty-free, worldwide license to view, use, and download their Waste Data via Leanpath Online, subject to Leanpath’s bulk export policies.
Customer Descriptive Data: Customers retain exclusive ownership of all Customer Descriptive Data they submit, such as meal volumes, food purchases, recipes, and sales data. Customers are responsible for ensuring they have the right to provide this data to Leanpath. By using the service, customers grant Leanpath a worldwide, royalty-free, non-exclusive, perpetual, sublicensable license to use this data for research, benchmarking, analytics, and service improvement, provided it is not disclosed in a manner inconsistent with Leanpath’s Privacy Policy.
System Data: Leanpath exclusively owns all System Data, which includes de-identified or aggregate system administrative, statistical, and operational data. Leanpath may use and share this data in aggregate or statistical form, but not in a way that identifies customers or their personnel without written approval.
Customer Descriptive Data: Upon termination of service, customers can request a download of their Customer Descriptive Data in XML format (with attachments in their native format) within 30 days of termination. After this period, Leanpath has no obligation to maintain or provide this data.
Waste Data: Customers have the right to view and download their Waste Data via Leanpath Online, subject to the platform’s bulk export policies. Bulk data downloads may require an additional fee, and are necessary for customers wishing to back up their Waste Data.
Automatic Renewal: Unless otherwise specified in your Order Confirmation, all Leanpath subscriptions automatically renew for additional periods equal to the expiring subscription term or one year (whichever is longer).
Non-Renewal Notice: Either party may prevent automatic renewal by providing written notice of non-renewal at least fifteen (15) days before the end of the current subscription term.
Order Confirmation Precedence: If your Order Confirmation specifies different renewal terms, those terms take precedence over the standard automatic renewal policy.
Termination for Cause:
Either party may terminate the agreement for cause:
By providing 30 days’ written notice if the other party materially breaches the agreement and fails to cure the breach within that period.
If the other party becomes subject to bankruptcy, insolvency, receivership, liquidation, or assignment for the benefit of creditors.
Refunds and Payments upon Termination:
If you terminate for cause, Leanpath will refund any prepaid fees covering the remainder of the subscription term after the effective date of termination.
If Leanpath terminates for cause, you must pay any unpaid fees covering the remainder of the term after the effective date of termination.
Termination does not relieve you of the obligation to pay any fees due for the period prior to the effective date of termination.
Additional Termination Rights (by Leanpath):
Leanpath may terminate or restrict services, with or without notice, if your use presents a material security risk, interferes with operations, or is subject to a court or government order.
With at least seven (7) days’ notice (and failure to cure within that period), Leanpath may terminate or restrict services if your use violates laws, infringes the intellectual property, or breaches acceptable use standards.
