3. No Unauthorized Access: XRS Collector cannot access confidential data without the client's express consent. When consent is granted, RMS will use the data only for the specific purpose permitted by the client.

4. No Data Selling: XRS Collector will never sell, publish, or distribute client data to any third party. The data is used solely for the purposes agreed upon by the client.

XRS Collector terms and conditions:

1. Contract Renewal:

   • Contracts are typically renewed automatically for successive terms unless either party provides written notice of intent not to renew at least 30 days prior to the expiration date of the current term.

   • Renewal terms can be for periods of one year or more, depending on the specific agreement. For example, some agreements may have renewal options for two additional terms of two years each.

2. Cancellation Terms:

   • Clients must provide at least 90 days' notice if they wish to cancel the service. If there is a discount associated with the contract period, the client must reimburse the monthly difference discounted in the months they used the tool.

   • Upon termination, XRS Collector will block the client's login to the software once the last payment is fulfilled. Additionally, XRS Collector undertakes to destroy the data stored on its servers free of charge at the client's request within 15 days after receipt of a registered letter with acknowledgment of receipt.

3. Termination for Breach or Bankruptcy:

   • Either party may terminate the agreement upon written notice if the other party fails to make a required payment or materially breaches the agreement and fails to cure the breach within a specified period (e.g., 30 days).

   • Termination can also occur if either party files for bankruptcy or similar debtor relief laws, or if a receiver is appointed for the other party's assets.

4. Effect of Termination:

   • Upon termination, each party must immediately discontinue the use of the other party's confidential information and return or destroy all originals and copies of such information.

   • Any amounts owed to RMS by the client become immediately due and payable, and the client must cease using the products and services.

5. Fees and Payments:

   • Fees are typically due in Canadian dollars and must be paid within 30 days of the relevant RMS invoice. RMS reserves the right to increase annual license fees by up to 3% annually following the initial license term or any renewal term.

   • Additional training beyond the initial engagement is available at a cost of $200 per hour and is web-based.

6. Service Credits and Maintenance:

   • XRS Collector provides service credits for failure to achieve service level standards. Clients must request credits within ten days of the end of the calendar month in which the failure occurred.

   • Planned maintenance and update events are executed with advance notification to the client, and emergency maintenance is performed as necessary with advance notice if possible.
