Cropin contracts (Work Orders) renew automatically for a period equal to the initial term or one year, whichever is longer, unless the customer provides written notice of non-renewal to Cropin at least thirty (30) days before the renewal date.
Upon each renewal, fees are subject to a minimum escalation of 10% of the original fees unless otherwise specified in the Work Order.
Either party may terminate a Work Order for convenience with sixty (60) days’ prior written notice.
Either party can also terminate a Work Order if the other party breaches the agreement and does not remedy the breach within thirty (30) days.
Immediate termination is permitted if either party becomes insolvent, files (or has filed against them) a petition under insolvency laws (not dismissed within 60 days), makes an assignment for the benefit of creditors, or has a receiver/trustee appointed over their business.
Upon termination, Cropin immediately revokes the customer’s license, all amounts due become payable, and all confidential materials must be returned within ten (10) business days.
Unless otherwise specified in a Work Order, if a customer terminates for any reason other than Cropin’s breach, the customer must pay all fees due for the balance term of the relevant Work Order.
All payments are non-refundable except as required by law or if Cropin is unable to provide services due to specific legal or product-related changes.
Cropin reserves the right to modify the agreement by publishing changes online and notifying the customer via email. If a customer does not agree with changes, they must object in writing within 30 days; otherwise, new terms apply from the next renewal date.
If modifications required by law or product change make subscription impracticable, services or the agreement may terminate with notice.
Upon ending the agreement, Cropin deletes or returns all personal data to the customer unless otherwise required by law.
