2. Non-Renewal Notice:

Termination by Accounting Seed:
Accounting Seed may terminate the agreement with a Direct Client for any reason by providing at least thirty (30) days' advance written notice.
Immediate termination can occur if the client breaches any payment obligation, fails to perform any material obligation, commits gross negligence or willful misconduct, or if the contract with a Designated Reseller expires or terminates.
2. Termination by Client:
A client may terminate the agreement if Accounting Seed fails to perform any material obligation, warranty, duty, or responsibility, and such failure continues unremedied for a period of thirty (30) days after receiving written notice from the client.
3. Effect of Termination:
All Sales Contracts and Accepted Orders will terminate upon any termination of the main agreement.
